Achroweb Solutions LLC – Terms & Conditions

1. Agreement to Terms

By purchasing, accessing, or using services provided by Achroweb Solutions LLC (“Achroweb,” “Company,” “we,” “us,” or “our”), the client (“Client,” “you,” or “your”) agrees to be bound by these Terms and Conditions and any applicable order form, service agreement, proposal, invoice, or subscription entered into with Achroweb.

If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement will control to the extent of that conflict.

2. Scope of Services

Achroweb provides AI-driven business automation and technology services, which may include:

  • AI-powered phone agents, virtual receptionists, and voice automation systems
  • Inbound and outbound call handling
  • Lead capture, qualification, routing, and appointment booking
  • SMS and communication automation
  • CRM, calendar, scheduling, and workflow integrations
  • Call routing and on-call technician notification
  • Workflow design, automation, monitoring, and optimization
  • AI content, video, and related automation tools
  • Additional digital or technology services agreed upon with the Client

Services are customized based on each Client’s business requirements and may change or evolve as technology, integrations, or Client requirements change.

Specific features, usage allowances, service levels, and pricing may be defined in the Client’s applicable service plan, proposal, order form, or invoice.

3. Third-Party Services & Infrastructure

Achroweb’s services may rely on or integrate with third-party providers, including telecommunications carriers, AI model providers, cloud infrastructure, CRM systems, scheduling platforms, messaging providers, APIs, and other technology services.

These providers may include services such as Twilio and other vendors selected by Achroweb as necessary to operate the Client’s system.

Account Management

Unless otherwise agreed in writing, Achroweb may create, configure, administer, or maintain third-party accounts and infrastructure used to deliver the services on behalf of the Client.

Achroweb may determine which third-party providers, technologies, models, carriers, or infrastructure are used to provide the services and may change providers when reasonably necessary for performance, reliability, security, compliance, cost, or functionality.

The Client is not required to maintain a separate account with a third-party provider unless specifically requested by Achroweb or agreed upon in writing.

Third-Party Costs

Third-party usage costs may be included within the Client’s service plan up to the applicable usage allowance or may be billed separately, depending on the Client’s agreement or selected plan.

Usage exceeding the included allowance may result in additional charges at the rates disclosed in the applicable service plan, proposal, order form, or invoice.

Third-party providers may modify their pricing, functionality, policies, availability, or technical requirements at any time. Achroweb is not responsible for outages, failures, pricing changes, API changes, service restrictions, or other actions caused by third-party providers outside Achroweb’s reasonable control.

4. Pricing, Billing & Payment

Clients agree to pay all applicable fees associated with their selected services, which may include:

  • One-time implementation, setup, or onboarding fees
  • Monthly subscription, service, or management fees
  • Usage or overage charges
  • Add-ons, upgrades, custom integrations, or additional services

Unless otherwise stated in writing, recurring services are billed in advance.

Payments must be made by the applicable due date. Failure to make payment when due may result in suspension, limitation, or termination of services.

Achroweb may suspend services for overdue accounts until all outstanding amounts are paid.

Except where required by law or expressly agreed otherwise in writing, setup fees, implementation fees, subscription payments, usage charges, and other amounts paid to Achroweb are non-refundable.

5. Setup, Implementation & Onboarding

Each Client’s system may require custom configuration and implementation.

Implementation may include:

  • Business information gathering
  • AI agent configuration and customization
  • Prompt and conversational-flow development
  • Telephone and communication configuration
  • CRM, calendar, or software integrations
  • Call routing
  • Testing and quality assurance
  • Deployment and optimization

Implementation timelines are estimates and may vary based on system complexity, third-party providers, integration requirements, and the Client’s responsiveness.

Client delays in providing requested information, credentials, approvals, or access may delay deployment.

Unless otherwise agreed in writing, implementation and setup fees are separate from recurring monthly service fees.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate, current, and complete business information
  • Provide accurate information regarding services, pricing, availability, policies, operating hours, staff, locations, and other information required by the AI system
  • Promptly notify Achroweb when relevant business information changes
  • Provide required access to calendars, CRMs, phone systems, software, or other integrations
  • Cooperate reasonably during implementation, testing, and optimization
  • Review and approve important business rules and agent behavior where requested
  • Use the services only for lawful business purposes
  • Comply with applicable laws and regulations governing calls, text messages, marketing, privacy, consent, and communications

Achroweb is not responsible for incorrect responses, bookings, routing, or other outcomes caused by inaccurate, incomplete, outdated, or misleading information supplied by the Client.

7. AI Systems & Performance

The Client acknowledges that artificial intelligence and automated systems are probabilistic technologies and are not guaranteed to operate without error.

AI systems may occasionally:

  • Misinterpret a caller
  • Provide an inaccurate or incomplete response
  • Fail to understand unusual requests, accents, background noise, or unexpected circumstances
  • Experience latency, interruption, or technical failure
  • Generate an unintended or inaccurate response
  • Fail to complete a booking, transfer, notification, or other requested action

Achroweb may monitor, test, modify, and optimize systems to improve performance, but no AI system can be guaranteed to be error-free or available without interruption.

The Client acknowledges that human review or intervention may remain appropriate for certain situations.

8. Emergency & High-Risk Communications

Unless specifically designed and agreed upon in writing for such purposes, Achroweb’s AI systems are not emergency-response systems and should not be relied upon as a substitute for 911, emergency dispatch, medical professionals, law enforcement, fire services, or other emergency services.

The Client is responsible for establishing appropriate escalation procedures for urgent or emergency communications applicable to its business.

9. Call Recording, AI Disclosure & Communications Compliance

Depending on system configuration, calls or communications may be recorded, transcribed, analyzed, or processed using artificial intelligence.

The Client is responsible for ensuring that its use of the services complies with applicable federal, state, and local laws regarding:

  • Call recording and monitoring
  • Consent
  • Artificial intelligence disclosures where required
  • Telephone and SMS communications
  • Marketing and solicitation
  • Do-not-call requirements
  • Privacy and data protection

The Client may request that Achroweb configure appropriate disclosures or notices within the system. However, the Client remains responsible for determining the legal requirements applicable to its business and communications.

10. Usage Limits & Overages

Service plans may include specified allowances for minutes, calls, messages, AI usage, or other resources.

If usage exceeds the allowance included in the Client’s plan, Achroweb may:

  • Charge applicable overage fees
  • Recommend or require an upgrade to a more appropriate service plan
  • Limit or suspend excessive usage if necessary to protect system availability or prevent unexpected third-party charges

Applicable usage allowances and overage pricing will be communicated through the Client’s service plan, proposal, order form, invoice, or other written agreement.

11. No Guarantee of Business Results

Achroweb provides technology and automation services intended to improve communication, responsiveness, lead handling, and operational efficiency.

Achroweb does not guarantee:

  • A specific number of leads or appointments
  • Increased sales or revenue
  • Specific conversion rates
  • Customer retention
  • Business profitability
  • Any particular financial result

Results depend on numerous factors outside Achroweb’s control, including call volume, lead quality, pricing, competition, market conditions, Client operations, staff performance, and customer behavior.

12. Intellectual Property

Except for Client-owned information, branding, and materials, all proprietary systems, workflows, prompts, automation logic, software configurations, methodologies, templates, processes, documentation, and other intellectual property developed or provided by Achroweb remain the property of Achroweb or its applicable licensors.

During an active paid service period, the Client receives a limited, non-exclusive, non-transferable right to use the services for its internal business operations.

The Client may not copy, reproduce, resell, sublicense, reverse-engineer, distribute, or commercially exploit Achroweb’s proprietary systems or technology without written authorization.

13. Telephone Numbers & Technical Assets

Telephone numbers, communication infrastructure, software accounts, configurations, and other technical assets used to provide the services may be provisioned or managed by Achroweb or third-party providers.

Ownership and portability of any telephone number or technical asset will depend on the applicable provider, account configuration, and Client agreement.

Upon termination, Achroweb will reasonably cooperate with requests to transfer eligible telephone numbers or Client-owned assets where technically and contractually permitted, provided the Client’s account is in good standing and all outstanding amounts have been paid.

Achroweb does not guarantee that every third-party number, account, integration, or technical asset can be transferred.

14. Confidentiality & Data

Each party agrees to use reasonable measures to protect confidential information received from the other party.

Client confidential information may include business information, customer information, credentials, operational processes, and other non-public information.

Achroweb confidential information includes proprietary systems, prompts, workflows, automation logic, software configurations, processes, pricing methodologies, and internal documentation.

Achroweb may process Client and customer data as reasonably necessary to provide, maintain, troubleshoot, secure, and improve the contracted services, subject to applicable law and any separate privacy or data-processing agreement.

15. Acceptable Use

Clients may not use Achroweb’s services to:

  • Violate applicable law
  • Engage in fraud, deception, harassment, or unlawful discrimination
  • Send unlawful spam or unsolicited communications
  • Violate telephone, SMS, privacy, or consumer-protection laws
  • Impersonate another person or organization unlawfully
  • Interfere with, abuse, reverse-engineer, or compromise Achroweb’s systems or third-party infrastructure

Achroweb may suspend or terminate services when it reasonably believes continued use creates legal, security, reputational, financial, or technical risk.

16. Cancellation & Termination

Unless a separate written agreement provides otherwise, Clients may cancel recurring services by providing at least 14 days’ written notice before the next billing date.

Cancellation does not automatically entitle the Client to a refund for amounts already paid.

Services may remain active through the applicable paid billing period unless otherwise agreed.

Achroweb may suspend or terminate services for:

  • Non-payment
  • Fraudulent, abusive, or unlawful use
  • Material violation of these Terms
  • Conduct that creates significant technical, financial, security, or legal risk
  • Abuse of Achroweb personnel, systems, or third-party infrastructure

Upon termination, access to Achroweb-managed systems, agents, automations, and infrastructure may be discontinued.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Achroweb will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of revenue, profits, data, customers, business opportunities, or goodwill arising from or related to the services.

Achroweb is not responsible for losses resulting from:

  • Third-party outages or failures
  • Telecommunications or carrier failures
  • API or integration failures
  • Internet or cloud-service interruptions
  • AI-generated errors or misunderstandings
  • Client-provided inaccurate information
  • Customer or caller actions
  • Missed, failed, delayed, or incorrectly routed communications outside Achroweb’s reasonable control

To the maximum extent permitted by law, Achroweb’s aggregate liability arising from the services will not exceed the fees paid by the Client to Achroweb during the three (3) months immediately preceding the event giving rise to the claim.

18. Indemnification

To the extent permitted by law, the Client agrees to indemnify and hold harmless Achroweb Solutions LLC and its officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, penalties, or expenses arising from the Client’s unlawful use of the services, Client-provided content or instructions, violation of applicable communication or privacy laws, or material breach of these Terms.

19. Service Availability & Force Majeure

Achroweb will use commercially reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation.

Achroweb will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including internet failures, telecommunications outages, cloud-provider outages, API failures, cyber incidents affecting third parties, natural disasters, government actions, labor disruptions, or failures of third-party technology providers.

20. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the services will be subject to the jurisdiction and venue of the appropriate courts located in the State of Florida, unless otherwise agreed in writing.

21. Changes to These Terms

Achroweb may update these Terms from time to time to reflect changes in its services, technology, third-party providers, legal requirements, or business operations.

Material changes will become effective upon reasonable notice or as otherwise required by applicable law.

Continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms.

22. Entire Agreement & Severability

These Terms, together with any applicable proposal, order form, invoice, service agreement, or other written agreement between Achroweb and the Client, constitute the agreement governing the applicable services.

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect.

24. Acknowledgement

By purchasing, accessing, or continuing to use Achroweb’s services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
